Stickr Terms of Service

Welcome to Stickr (“Stickr,” “we,” “us,” or “our”). Stickr is a Software-as-a-Service (SaaS) email security platform designed to enhance email authenticity and mitigate phishing risks by embedding unique security codes (“scodes”) into outbound emails and verifying them upon receipt. These Terms of Service (“Terms”) govern your access to and use of the Stickr website(s), applications, and services (collectively, the “Services”).
Please read these Terms carefully. By accessing or using our Services, you agree to be bound by these Terms and all other terms referenced herein (including our Privacy Policy and any applicable Business Associate Agreement (“BAA”) for HIPAA compliance). If you do not agree to these Terms, do not access or use the Services.
1. Definitions
- “Account”: The user account created when you register or sign in via OAuth or other authentication methods to use Stickr.
- “Admin”: The administrator of a Google Workspace domain or other organization who configures domain-wide settings for email routing through Stickr.
- “scodes”: Unique security codes embedded in outbound emails for authenticity verification.
- “User” or “you”: Any person or entity who accesses or uses the Services.
2. Eligibility and Account Registration
- Minimum Age: You must be at least the age of majority in your jurisdiction to use our Services.
- Accuracy of Information: You agree to provide accurate, current, and complete information during account registration and to update it to keep it accurate.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Stickr immediately of any unauthorized use or suspected breach of your account.
3. Description of Services
- Email Security Integration: Stickr integrates with Gmail and Google Workspace to intercept outbound emails, embed scodes, and verify authenticity.
- Automatic Routing: Once configured by an Admin, specified outbound emails are routed through Stickr’s SMTP proxy or Gmail API integration.
- Transparency to End Users: Users can continue to use their normal Gmail clients (web, mobile, or desktop) without additional SMTP configuration.
- scodes and Verification: Each email processed by Stickr may include a scode that recipients can click or reference to confirm the sender’s identity and the email’s authenticity.
4. Acceptable Use and User Obligations
- Compliance with Laws: You agree to comply with all applicable laws and regulations, including data protection laws (GDPR), healthcare regulations (HIPAA), and export restrictions.
- Restrictions:
- You must not use the Services in a way that violates any third-party rights or intellectual property.
- You must not transmit malware, spam, or any unlawful content through Stickr’s Services.
- You must not interfere with the security or operation of our Services.
- Organization Responsibilities: If you are an Admin, you agree to set up compliance rules or routing settings in accordance with Google Workspace and Stickr’s documentation. You represent and warrant that you have authority to configure the domain’s email routing as needed.
5. HIPAA and GDPR Compliance
- HIPAA: If you are a covered entity or business associate subject to HIPAA, Stickr will offer a Business Associate Agreement (“BAA”) upon request. You must execute a BAA with Stickr before transmitting any Protected Health Information (“PHI”).
- GDPR: Where we act as a data processor under the General Data Protection Regulation, we process personal data in accordance with your instructions and as described in our Privacy Policy.
- Your Responsibility: You are responsible for ensuring your own compliance with HIPAA, GDPR, or other laws when you select, implement, and use our Services.
6. Intellectual Property Rights
- Stickr IP: All right, title, and interest in and to the Services, including all software, trademarks, logos, and other intellectual property associated with Stickr, belong to Stickr or its licensors.
- License Grant: Subject to your compliance with these Terms, Stickr grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
- Feedback: Any suggestions, ideas, or feedback you provide to Stickr relating to the Services may be used by Stickr without obligation or restriction.
7. Fees and Payment
- Subscription Plans: Stickr may offer free trials or tiered subscription plans with varying limits and features.
- Billing: If applicable, you agree to pay all fees in accordance with the pricing and billing terms. You authorize Stickr to bill the payment method you provide at regular intervals.
- Taxes: You are responsible for any applicable taxes, duties, or levies imposed by any governmental authority.
8. Modifications and Updates
- Service Changes: Stickr reserves the right to change, update, or discontinue features of the Services at any time without liability to you.
- Terminating Features: If we discontinue a feature, we will use commercially reasonable efforts to provide advance notice.
9. Disclaimers of Warranties
- “As Is” Basis: The Services are provided on an “AS IS” and “AS AVAILABLE” basis without any warranties, express or implied.
- No Guarantee of Security or Availability: While Stickr aims to enhance email security, we do not guarantee that the Services will detect or prevent all phishing, spam, malware, or unauthorized access.
- Third-Party Services: Stickr integrates with third-party platforms like Google Workspace. We are not responsible for any interruptions, errors, or data loss due to third-party actions.
10. Limitation of Liability
- Indirect Damages: To the fullest extent permitted by law, Stickr shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits or data.
- Aggregate Liability: Stickr’s total liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to Stickr in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless Stickr and its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your breach of these Terms,
- Your violation of applicable laws or regulations,
- Your infringement of any third-party rights.
12. Term and Termination
- Term: These Terms remain in effect while you continue using the Services or until terminated.
- Termination by You: You may stop using our Services at any time. If you wish to delete your account, follow the instructions in the Stickr dashboard or contact us.
- Termination by Stickr: We may suspend or terminate your access if we determine you have violated these Terms or used the Services in a manner that could harm us or others.
- Effect of Termination: Upon termination, you will lose access to the Services. Any clauses that by their nature should survive termination (e.g., Disclaimers, Limitation of Liability) shall remain in effect.
13. Changes to Terms
We may update or modify these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or a prominent notice on our website) before the changes become effective. By continuing to use the Services after the updated Terms become effective, you agree to be bound by the revised Terms.
14. Governing Law and Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.
- Dispute Resolution: Any dispute arising from these Terms shall be resolved in the courts of [Your Jurisdiction], and each party consents to the jurisdiction and venue of such courts.

- Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may freely assign or transfer these Terms.
